Terms of Service

1. Acceptance of Terms

By accessing or using SMBTruth ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, don't use our Platform.

SMBTruth is operated by Magnet Mint, LLC, a Wyoming limited liability company ("we," "us," or "SMBTruth").

2. Eligibility & Membership Requirements

2.1 Who Can Join

You MUST be:

• An owner or co-owner (with equity stake) of a home service business
• Operating a B2C service business (selling directly to consumers)
• Generating $1M-$10M in annual revenue
• Based in the United States
• At least 18 years old

You agree to provide authentic, unaltered documents. Submission of false documents results in permanent ban and potential legal action.

3.4 Trade Attestation

By selecting your primary trade, you certify that:

• This trade represents more than 50% of your annual revenue
• You understand misrepresentation constitutes fraud
• False trade selection to avoid territory conflicts results in immediate termination

4. Territory Protection

4.1 Territory Rights

Members receive exclusive territory protection based on:

• Founding Members (1-360): 60-mile radius (40 miles in top 20 metros, 75 miles rural)
• Standard Members (361+): 30-mile radius (20 miles in top 20 metros, 40 miles rural)
• Protection is BY TRADE (an HVAC member doesn't block a plumber)
• Members appear on map as [MemberID-Trade] (e.g., BF47-HVAC)

4.3 Territory Obligations

• You must maintain active business operations in your territory
• Territory rights are non-transferable
• One primary location per membership only
• Territory protection remains as long as membership is active

4.4 Trade-Specific Protection

• Territory protection applies only within your registered trade
• HVAC members cannot block Plumbing/Electrical applicants
• Same geographic area may have multiple trades without conflict
• Trade misclassification complaints handled case-by-case

5. Pricing & Payment

5.1 Membership Fees

5.2 Payment Terms

• Monthly billing only (no annual plans)
• Payment due on same date each month
• 3-day grace period for failed payments
• No refunds after 7 days of payment
• Prices may increase with 60-day notice (founders exempt)

5.3 Trade Activation

• Territory reservation is FREE until trade activates
• Trade activates at 10 verified members
• 7-day window to complete payment after activation
• Failure to pay releases territory to waitlist

6. Community Standards & Prohibited Conduct

6.1 Data Integrity Requirements

• Past-Paid Only: Only share invoices for completed, paid transactions
• Real Numbers: No estimates, quotes, or projections
• Truthful Data: Intentionally false data = permanent ban
• Invoice Upload: Must provide proof for all shared prices

6.2 Prohibited Activities

You agree NOT to:

• Share false or misleading pricing data
• Violate Truth Circle confidentiality
• Harass, threaten, or abuse other members
• Attempt vendor infiltration or represent vendors
• Coordinate price fixing or anti-competitive behavior
• Scrape, harvest, or bulk export data
• Share login credentials or create multiple accounts
• Use data against other members competitively
• Record Truth Circle sessions
• Violate any applicable laws

6.3 Content Standards

• All shared prices must include supporting documentation
• Hot Deals expire after 48 hours
• Vendor names sanitized for 30 days in public forums
• You retain ownership of your contributed data

7. Truth Circles & Confidentiality

7.1 Truth Circle Participation

• Requires 50+ contribution points and L2 verification
• 6-8 members with 75-mile geographic separation
• Biweekly mandatory video calls
• Full transparency required (real names, companies)
• Less than 60% attendance over 8 weeks = removal

7.2 Confidentiality Agreement

Truth Circle members agree to absolute confidentiality regarding:

• Member identities and business details
• Specific pricing strategies discussed
• Personal business challenges shared
• Any information marked confidential

8. Intellectual Property & Privacy

8.1 Your Content

You retain ownership of all content you submit but grant SMBTruth a worldwide, non-exclusive license to use, display, and analyze your content for Platform operations.

8.2 Our Property

SMBTruth owns all Platform features, functionality, design, and aggregated data insights. You may not copy, modify, or reverse engineer any part of the Platform.

8.3 Aggregated Data

We may create and share anonymized, aggregated insights from member data. Individual member data is never shared without explicit consent.

8.4 Data Security

• All documents encrypted at rest
• Automatic PII redaction from invoices
• 90-day document retention policy
• GDPR/CCPA compliant storage
• Invoice watermarking with viewer ID

9. Enforcement & Consequences

9.1 Three-Strike System

For minor violations:

• Strike 1: Warning + 7-day suspension
• Strike 2: 30-day suspension + 50 point penalty
• Strike 3: Permanent removal, no refund

9.2 Immediate Ban Offenses

• Sharing intentionally false data
• Vendor infiltration attempts
• Truth Circle confidentiality breach
• Harassment or threats
• Multiple account creation
• Selling member data
• Misrepresenting primary trade to avoid territory conflicts

9.3 Challenge Flag System

• Any member can flag suspicious data (costs 5 points)
• 3 random L2 members review within 72 hours
• Upheld = poster banned, flagger gets 20 points
• False flags penalized equally

10. Disclaimers & Limitations

10.1 No Guarantees

SMBTruth provides a platform for information sharing. We don't guarantee:

• Accuracy of member-submitted data
• Specific savings amounts
• Vendor relationships or pricing
• Business outcomes

10.2 Limitation of Liability

Our total liability is limited to the amount you paid in the last 3 months. We're not liable for indirect, consequential, or punitive damages.

10.3 Vendor Relationships

SMBTruth doesn't interfere with your vendor relationships. You're responsible for your own procurement decisions and vendor negotiations.

10.4 Anti-Retaliation

While we provide templates and support, we cannot prevent vendor retaliation. Use Platform information at your own discretion.

11. Dispute Resolution

11.1 Member Appeals

• One appeal within 30 days of any action
• Review by 3-member committee
• Decision within 72 hours
• Decision is final

11.2 Arbitration Agreement

All disputes will be resolved through binding arbitration in Wyoming, except for claims that qualify for small claims court. You waive any right to a jury trial or class action.

11.3 Governing Law

These Terms are governed by Wyoming law, without regard to conflict of law principles.

12. Changes to Terms

12.1 Modifications

We may modify these Terms with:

• 30-day notice for minor changes
• 60-day notice for major changes
• 60-day member vote for fundamental changes

12.2 Grandfathered Rights

Founding members retain:

• Lifetime pricing (if L2 verified by member #360)
• 60-mile territory protection
• 2x voting weight on changes
• Charter member status

13. Cancellation & Termination

13.1 Your Right to Cancel

You may cancel anytime through your account settings. Cancellation takes effect at the end of your current billing period.

13.2 Our Right to Terminate

We may terminate your membership for Terms violations or non-payment. Termination for cause is immediate with no refund.

13.3 Effect of Termination

Upon termination:

• Access ends immediately
• Territory protection releases
• No refund for current period
• Your contributed data remains (anonymized)
• Truth Circle obligations continue

14. Special Provisions

14.1 Business Transitions

• Membership is non-transferable if selling business
• Bankruptcy: Membership suspended, not terminated
• Death: 6-month transfer window to successor

14.2 Medical/Emergency Pause

Members may pause for medical emergency or crisis:

• Maximum 90 days
• Requires documentation
• Territory remains protected
• No billing during pause

14.3 Founder Benefits

First 360 members receive:

• Lifetime price lock (if L2 verified)
• Enhanced territory protection
• Priority Truth Circle placement
• Advisory board eligibility
• Legacy member number

16. Miscellaneous

16.1 Entire Agreement

These Terms constitute the entire agreement between you and SMBTruth.

16.2 Severability

If any provision is found invalid, the remaining provisions continue in full force.

16.3 No Waiver

Our failure to enforce any provision isn't a waiver of our right to do so later.

16.4 Assignment

You may not assign your membership. We may assign our rights and obligations.

16.5 Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control.
